OFFICIAL RULES

To enter the "Summer Movie Night Sweepstakes" ("Sweepstakes"), you must agree to and abide by these official rules ("Official Rules").

NO PURCHASE OR PAYMENT NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT WILL NOT IMPROVE YOUR CHANCE OF WINNING.

1. SPONSOR: DoorDash, Inc. ("Sponsor"), 303 2nd St, Suite 800, San Francisco, CA 94107.

2. ADMINISTRATOR: Probability LLC ("Administrator"), 2 Woodstock Meadows Ln, Woodstock, NY 12498.

3. ELIGIBILITY: The Sweepstakes is open only to legal residents of the fifty (50) United States or District of Columbia who are at least eighteen (18) years of age (or the age of majority in their jurisdiction of residence, whichever is older) and are not DashPass members as of June 14, 2023. Any individuals (including but not limited to employees, consultants, independent contractors [including Dashers as well as brand ambassadors/influencers], and interns) who have, within the past six (6) months, performed services for Sponsor, Roku, Inc. ("Roku"), Administrator, CSM Sport and Entertainment, Inc., any organizations responsible for sponsoring, fulfilling, administering, advertising, or promoting the Sweepstakes and/or their respective parent, subsidiary, affiliated, and successor companies (collectively, the "Sweepstakes Parties"), and immediate family and household members of such individuals, are not eligible to enter or win. "Immediate family members" shall mean parents, step-parents, children, step-children, siblings, step-siblings, or spouses, regardless of where they live. "Household members" shall mean people who share the same residence at least three (3) months a year, whether related or not. In addition, persons who are otherwise eligible but who were DashPass members prior to June 14, 2023 whose subscription was terminated by Sponsor due to violation of its policies are not eligible to enter or win. Void where prohibited or restricted by law.

4. SWEEPSTAKES ENTRY: The Sweepstakes consists of six (6) separate weekly Sweepstakes drawings.

Collectively, the Week 1, Week 2, Week 3, Week 4, Week 5, and Grand Prize/First Prize Period comprise the “Sweepstakes Period,” with each individual weekly sweepstakes period considered a “Weekly Entry Period”.

For purposes of these Official Rules, all times are Pacific Time. Sponsor’s computer is the official time-keeping device for the Sweepstakes.

Roku Online/In App Entry: To enter, via this method you must (a) have a current Roku account associated with a device, (b) login to your Roku account either online (https://roku.com) or via your Roku app, and (c) activate the 6 month DashPass trial** to automatically receive one (1) in-app entry into the Sweepstakes (“In-App Entry”). Your In-App Entry will be entered into the Weekly Entry Period you completed your In-App Entry. Your In-App Entry will be void if (x) you are not a current Roku account holder at the time you activate your DashPass membership, or (y) your DashPass subscription is canceled for any reason during the duration of the Sweepstakes.

In order to activate the DashPass trial, you must first create a DoorDash account with a valid e-mail address and phone number. Creating a DoorDash account is free. For further information and instructions, visit www.DoorDash.com.


Mail-in Entry: To enter without a Roku or DoorDash account, or without signing up for the 6 month DashPass membership trial, (if you have a Roku account and DoorDash membership) on a 3"x5" card handprint your name, email address (if any), home address, year of birth, and daytime phone number and mail in a business size (#10) envelope to: DoorDash Summer Movie Night Sweepstakes Entry, P.O. Box 1559, Social Circle, GA 30025-9999 (“Mail-in Entry”). Mail-in entries must be postmarked and received by dates stated in the table above to be eligible for the respective Weekly Entry Period and drawing. No copies, stamped or mechanical reproductions of mail-in entries will be accepted. Each 3"x5" card must be mailed separately. To be eligible, Mail-in entries must be postmarked from an address in the 50 U.S. or District of Columbia. Mail-in entries become Sponsor’s property and will not be returned. Sponsor and Administrator are not responsible for postage due mail.

All eligible entries received during the Weekly Entry Periods, regardless of entry method, will also automatically be entered into the Grand and First Prize drawings.

Limit of one (1) entry per person during the Sweepstakes Period, regardless of method of entry. Multiple entries and/or mass entry attempts may result in disqualification of all entries by entrant and may constitute an act of fraud. Whether or not you have a Roku account or subscribe to DashPass, it will NOT improve or affect your chances of winning in the Sweepstakes. Incomplete entries will not be accepted. Entries must be manually key-stroked by the entrant; use of automated entry devices or programs, or entries by third parties are prohibited. Entries that do not conform to or that violate these Official Rules or are submitted in any manner other than stated in these Official Rules will be disqualified. Proof of submission of entry (including activation of DashPass subscription, if applicable) does not constitute proof of receipt of the same. Receipt of online entries may be acknowledged, but any such acknowledgment is in no way otherwise binding upon Sponsor or Administrator. Receipt of mail-in entries will not be acknowledged. By entering this Sweepstakes, entrants agree to these Official Rules and the decisions of the Administrator and Sponsor, which are binding and final in all matters relating to this Sweepstakes.

5. RANDOM DRAWING/SELECTION OF WINNERS/ODDS:
   • Weekly Drawings: Five (5) weekly winners will be selected at random among all eligible entries received for each given Weekly Entry Period on or about the dates stated in the table in Rule #4 above. All non-winning eligible entries from each Weekly Entry Period will be carried over into the remaining Weekly Entry Period drawings. All eligible weekly entries (whether winning or non-winning) will also be entered into the Grand Prize/ First Prize drawing.
   • Grand Prize/First Prize Drawing:
     • Four (4) Grand Prize winners will be selected at random among all eligible entries received within the entire Sweepstakes Period.
     • Five (5) First Prize winners will be selected at random among all eligible entries received with the entire Sweepstakes Period. Grand/ First Prize random drawings will be conducted on or about July 28, 2023.
   
   All random drawings will be conducted by Administrator, an independent judging organization/administrator whose decisions are final and binding on all matters related to the Sweepstakes.
   
   Odds of winning depend on the total number of eligible entries received for the applicable weekly drawing period.

6. WINNER NOTIFICATION: Potential winners will be notified by e-mail (if potential winner entered via DashPass trial,via the e-mail currently on file with Sponsor for the corresponding DoorDash account; if potential Winner enters via mail and does not include an e-mail address on 3" x 5" card, they will be notified instead via phone in Sponsor’s sole discretion) on or about applicable drawing date. Failure to respond to the initial notification e-mail or phone call within twenty-four (24) hours after transmission to the potential winner or return of the e-mail notification as undeliverable or if there is no answer to the phone call after two (2) attempts will result in disqualification and award of the prize to an alternate winner. If the winner is notified by phone, Administrator will leave a voicemail outlining the prize claim procedure. Administrator is not responsible if the potential winner doesn’t have a voicemail set up or if it is full or not accepting any messages or any reason whatsoever. There will only be two (2) attempts to call and/or leave voicemail within the 24 hour period. If Administrator is not able to contact the potential winner or if the potential winner doesn’t not reply to the call/voicemail within the 24 hour period, it will result in disqualification and the prize will be awarded to an alternate winner. Potential winners will have the option to decline the prize for any reason whatsoever, in which case such potential winner will be disqualified and the prize will be awarded to an alternate winner. Potential winners may be required to complete, sign and return within five (5) business days of transmission, an Affidavit of Eligibility, Liability Release and Indemnification/Publicity Release where allowed by law, as well as other documents that Sponsor may require (collectively the "Prize Claim Documents"). Failure to return the completed and signed Prize Claim Documents within the indicated time period (as applicable) may result in disqualification, prize forfeiture and selection of an alternate potential winner from among all remaining eligible entries received for the applicable drawing.
   
   In the event of any dispute concerning the identity of any entrant, who entered via DashPass trial, the entry will be deemed submitted by the natural person who is the Authorized Account Holder of the e-mail address associated with the corresponding DoorDash account used to enter and such individual must comply with these rules. "Authorized Account Holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

7. PRIZES/APPROXIMATE RETAIL VALUE ("ARV") :

   Five (5) First Prizes: Each First Prize winner will receive the following First Prize Package: Insignia™ Outdoor Projector Kit with 91” Folding Screen, LCD Projector and Wireless Speaker (ARV: $349.00); $500 DoorDash Gift Card (ARV: $500.00); Roku® Streambar® streaming player (ARV: $129.99); Outdoor Bean Bag Chair (ARV: $109.00); and a one (1) year DashPass Membership (ARV: $96.00). Total ARV of each First Prize Package: $1,183.99. Total ARV of all First Prize Packages: $5,919.95
   
   Twenty-five (25) Weekly Prizes: Five (5) Weekly Prizes will be awarded each of the five weeks. Each Weekly Prize winner will receive the following Weekly Prize Package: Roku® Streambar® streaming player (ARV: $129.99); $100 DoorDash Gift Card (ARV: $100.00) ; and DoorDash Backpack Cooler (ARV: $120.00). Total ARV of each Weekly Prize Package: $349.99. Total ARV of all Weekly Prize Packages: $8,749.75
   
   TOTAL ARV OF ALL PRIZES: $34,605.66.

   *Used for Prize identification purposes only. No endorsement or sponsorship is intended or implied by such use. Roku and third party entities' trademarks are used herein solely for Prize identification purposes; such entities have NOT sponsored or endorsed the Sweepstakes in any respect. Third party entities are not a participant in or sponsor of this promotion.

8. ADDITIONAL PRIZE RESTRICTIONS:
   
   All applicable federal, state and/or local taxes as well as unspecified expenses in conjunction with acceptance and use of Prize are the sole responsibility of the Prize Winners, who will receive an IRS Form 1099 reflecting the actual final retail value of any prize valued at $600 or more. For prizes valued over $600, winners must furnish their social security number where requested on the Prize Claim Documents. (If Grand or First Prize winner also wins a Weekly Prize, the IRS Form 1099 will reflect the combined value of the Grand or First Prize and the Weekly Prize.) Winners further agree to otherwise fully cooperate with Sponsor/Administrator as to their compliance with governmental tax-reporting requirements. Failure to do so will result in prize forfeiture.
   
   A DoorDash account is required to redeem DoorDash gift card prizes (to create a DoorDash account, a valid e-mail address and phone number is required and you must agree to the DoorDash Consumer Terms and Conditions available here) All merchandise prizes are subject to manufacturer’s standard warranty. Prizes are provided "as is"; entrants acknowledge that Sponsor and the Sweepstakes Parties have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to any Prize, including any implied warranty of merchantability or fitness for a particular purpose. (With regard to Sponsor, the preceding excludes any express warranties on the DoorDash gift card and DashPass subscription with such warranties being limited to their terms.) Any prizes composed of multiple elements must be accepted in its entirety and cannot be separated. Color, size and style of various prize components will be determined by Sponsor in its sole discretion (except where otherwise noted). Any images of prizes/prize components in advertising are for illustrative purposes only and actual items awarded as prizes/prize components may differ from such images for various reasons; and Sponsor and Administrator disclaim any and all liability in conjunction therewith.

   Prizes will only be delivered to a street address in the fifty (50) United States or Washington, D.C. All prizes will be delivered to the winner’s primary residence as indicated on 3”x5” card entry orthe address provided by the winner during the winner notification process and/or in the Prize Claim Documents. Allow up to 6-8 weeks after completion of prize claim procedure for delivery of prize(s). All components of each prize package may be delivered separately and may require signature upon delivery. Prize(s) returned as undeliverable may be forfeited.

9. LIMITATIONS OF LIABILITY: Released Parties (as defined below) are not responsible for failed, partial or garbled computer transmissions, or for technical failures of any kind affecting the Sweepstakes in any manner, including but not limited to electronic malfunction or damage of any network, hardware or software. In the event of any discrepancy between the provisions of these Official Rules and any marketing materials (including any prize descriptions), the provisions of these Official Rules shall prevail and govern. If for any reason the Sweepstakes is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud or technical failures beyond any Released Party’s control that corrupt or affect the administration, security, fairness, integrity or proper conduct of the Sweepstakes (including entries or otherwise), Sponsor reserves the right, in its sole discretion, to disqualify any individual, whether or not the individual is a participant in the Sweepstakes, who tampers with the entry process, and to terminate, modify or suspend the Sweepstakes. In such event, Sponsor reserves the right to conduct the Sweepstakes and award Prizes for affected drawing(s) by means of a random drawing from among all non-suspect online/App eligible entries received for affected drawing(s) prior to and/or after (as appropriate) the action taken by Sponsor as well as all eligible mail-in entries received for affected drawing(s) or otherwise in a manner which is fair, appropriate and consistent with these Official Rules, as determined by Sponsor in its sole discretion. Notice of termination/modification/suspension of Sweepstakes will be posted on DoorDash's website and will be posted in app. No responsibility is assumed by any Released Party for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or loss, destruction or unauthorized access to, or alteration of, entries; or any problems or technical malfunctions of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, failure of any e-mail or electronic entry or participation to be received on account of technical problems or traffic congestion on the Internet or at any website/platform (including the app), or any combination thereof, including any injury or damage to any person's computer or mobile device related to or resulting from participation in or downloading any materials from this Sweepstakes. Failure of Sponsor or Administrator to enforce any provision of these Official Rules shall not constitute the waiver of such provision. All federal, state and local laws and regulations apply.
   
   Persons entering the Sweepstakes further agree not to knowingly damage or cause interruption of the Sweepstakes and/or prevent others from participating in the Sweepstakes. CAUTION: ANY ATTEMPT TO DAMAGE ANY ONLINE SERVICE, WEBSITE, APP OR PLATFORM OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES VIOLATES CRIMINAL OR CIVIL LAWS. IF SUCH AN ATTEMPT IS MADE, SPONSOR MAY DISQUALIFY ANY PERSON, WHETHER OR NOT THE INDIVIDUAL IS A PARTICIPANT IN THE SWEEPSTAKES, MAKING SUCH ATTEMPT AND SEEK DAMAGES TO THE FULLEST EXTENT OF THE LAW.
   
   SPONSOR MAKES NO WARRANTY, REPRESENTATION, OR GUARANTEE, EXPRESS OR IMPLIED, IN FACT OR IN LAW, RELATIVE TO THE USE OF ANY PRIZE, INCLUDING, WITHOUT LIMITATION, ITS QUALITY, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. (THE PRECEDING EXCLUDES ANY EXPRESS WARRANTIES MADE BY SPONSOR ON ITS GIFT CARD OR DASHPASS SUBSCRIPTION WITH SUCH WARRANTIES BEING LIMITED TO THEIR TERMS.)

10. RELEASE OF LIABILITY: By participating in this Sweepstakes, entrants agree to release and hold harmless Sponsor, Administrator, Roku, Inc., as well as each of their parent companies, subsidiaries and affiliates, and their respective officers, directors, employees, agents, partners and representatives and each of their respective successors, representatives and assigns, (collectively, the "Released Parties") from any and all actions, claims, injury, loss or damage arising in any manner, directly or indirectly, from participation in this Sweepstakes or any Sweepstakes-related activity or travel, and/or acceptance, receipt, possession or use/misuse of any Prize(s).

11. PUBLICITY GRANT: By entering, entrants also authorize the Sponsor and their designees (including Roku,) to use their name, voice, likeness, photograph, Prize information (if applicable), biographical data and city and state of residence in programming, advertising and/or promotional material or on a Winners’ list (if applicable) without further compensation, notification or permission, to the extent permitted by law. Sponsor is not obligated to use any of the above-mentioned information or materials but may do so and may edit such information or materials, at Sponsor's sole discretion, without obligation or compensation.

12. DISPUTES; ARBITRATION/CHOICE OF LAW: Except where prohibited, entrants agree that: (a) any and all disputes, claims, and causes of action arising out of or connected with this Sweepstakes, or the awarding of prizes/determination of Winners, shall be resolved individually, without resort to any form of class action, and exclusively by arbitration pursuant to the Rules of JAMS, then effective (notwithstanding the foregoing, entrant shall not be precluded from seeking relief in small claims court for disputes/claims within the scope of the jurisdiction of small claims court and any remedies available to entrant under applicable federal, state or local law remain available to entrant and are not waived pursuant to this section); (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred (if any), including costs associated with entering this Sweepstakes but in no event attorneys’ fees; and (c) under no circumstances will entrant be permitted to obtain awards for and entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket costs, and any and all rights to have damages multiplied or otherwise increased and any and all rights to injunctive relief. The arbitrator hearing such dispute/claim/cause of action shall be neutral and the entrant will have a reasonable opportunity to participate in the selection of the arbitrator. Such arbitration will take place at a location near the entrant’s residence and the entrant has the right to an in-person hearing in the arbitration proceeding, if desired. The arbitration will allow for discovery and/or exchange of non-privileged information between entrant and Sponsor. Should an entrant initiate arbitration pursuant to this section, the entrant shall be responsible for JAMS’s fees to do so (approximately, $250), with all other costs of such arbitration being borne solely by Sponsor. If entrant is a California resident and Sponsor prevails in such arbitration, such entrant will not be responsible for Sponsor’s costs and fees in conjunction with the arbitration proceeding; BUT, IN ALL OTHER CASES, ENTRANT WILL BE RESPONSIBLE FOR SUCH COSTS/FEES IF REQUIRED BY THE ARBITRATOR’S RULING. For the avoidance of doubt, the requirement to arbitrate disputes pursuant to this section is reciprocal and binding both upon entrants and Sponsor. IN AGREEING TO ARBITRATION, YOU ARE GIVING UP YOUR RIGHT TO TRIAL IN A COURT OF LAW. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrant and/or Released Parties in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of California, without regard for conflicts of law doctrine of California or any other jurisdiction.

13. PRIVACY POLICY: Personal information provided in conjunction with Sweepstakes entry is subject to Sponsor’s Privacy Policy here and Roku’s Privacy Policy here.

14. WINNERS’ LIST: For the names of winners, mail a separate, self-addressed, stamped envelope to: Summer Movie Night Sweepstakes, c/o Probability, P.O. Box 1559, Social Circle, GA 30025-1559, for receipt by August 31, 2023.
